Terms of Service Pagadera

These Terms of Service (“Terms”) govern your access to and use of the Pagadera Payment Network (“Pagadera”, “we”, “us” or “our”) website, membership and payment services. By visiting our website, becoming a member, or using the network to make online or mobile payments, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Eligibility

To use Pagadera you must be able to form a legally binding contract under applicable law and, where required, meet the minimum age set by your provider and by law. You are responsible for ensuring that your use of the network is permitted in your jurisdiction. Access to certain services depends on your provider participating in the Pagadera network.

2. Membership & E-Wallets

Pagadera is a network for financial institutions to offer Consumer-to-Business services; it is not a peer-to-peer payment service. To pay through the network you become a member and create or link one or more e-wallets issued by a participating provider.

• You are responsible for the accuracy of the information you provide and for keeping your membership and wallet credentials confidential.
• You are responsible for activity that occurs under your membership. Notify us or your provider promptly of any suspected unauthorised use.
• Your e-wallet is issued and held by your provider; the terms of your provider also apply to that wallet and to the funds within it.

3. Provider Relationships

Your e-wallet and the underlying funds are provided by your bank, credit union or other financial institution (your “provider”), not by Pagadera. Pagadera operates the network that connects members, providers and merchants so that payments can be initiated and settled. Your relationship with your provider is governed by the agreement between you and that provider, which applies in addition to these Terms.

4. C2B Model & No Financial Information Shared

Pagadera enables Consumer-to-Business (C2B) payments: you pay merchants for goods and services. A core principle of the network is that no financial information is ever shared with the merchant, and full card or bank credentials never pass through Pagadera to complete a payment.

Your card numbers, bank account credentials and similar sensitive data remain solely with your provider. Merchants receive no financial data on their servers, and Pagadera does not require or store your full financial credentials to route a payment. This design reduces the exposure of your sensitive financial information when you transact.

5. Acceptable Use

When using Pagadera, you agree that you will not:

• Use the network for any unlawful, fraudulent, or deceptive purpose, or for money laundering or the financing of illegal activity.
• Attempt to gain unauthorised access to, interfere with, or disrupt the network, its security, or other members’ accounts.
• Reverse engineer, copy, or misuse the website, apps, or network other than as permitted by these Terms.
• Provide false, inaccurate, or misleading information, or impersonate any person or entity.
• Use the services in violation of any applicable law, regulation, or the rules of your provider or a participating merchant.

6. Service Availability

We aim to keep the network available and reliable, but we do not guarantee uninterrupted or error-free operation. Services may be unavailable during maintenance, updates, or events beyond our reasonable control, and availability of specific features may depend on your provider and the merchant. We may modify, suspend, or discontinue parts of the service where reasonably necessary.

7. Disclaimers

To the fullest extent permitted by law, the website and services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Pagadera does not warrant that the services will meet your requirements or be free of errors or interruptions. Pagadera is not a party to, and is not responsible for, the underlying transaction between you and a merchant or the goods and services you purchase.

8. Limitation of Liability

To the fullest extent permitted by law, Pagadera and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the services. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

9. Intellectual Property

The Pagadera name, logo, website, software, and all related content are owned by Pagadera or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the website and services for their intended purpose. You may not copy, distribute, modify, or create derivative works from our content or software except as expressly permitted.

10. Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, or for legal or regulatory reasons. We will post the updated Terms on this page and revise the “Last updated” date above. Your continued use of the services after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of Curaçao, and the competent courts of Curaçao will have jurisdiction, without regard to conflict-of-laws principles.
